These Creator Terms of Service (these "Creator Terms") are a legally binding agreement between Kitbees Inc., a Delaware C Corporation ("Kitbees," "we," "us," or "our"), and the individual who registers for, accesses, or uses the creator-facing portions of the Kitbees Services ("Creator," "you," or "your").

The "Creator Services" means the creator-facing features of Kitbees' websites and applications, including creator registration, profile claiming, account verification, campaign discovery, campaign applications, messaging with brands, deliverable submission and review workflows, notifications, and related tools. The "Services" has the meaning given in the Kitbees Terms and Conditions.

Companies, organizations, agencies, and other entities that use Kitbees for creator discovery, campaign management, and related workflows ("Brands") are governed by the Kitbees Terms and Conditions, not by these Creator Terms. If you use Kitbees in both capacities — as a Creator and on behalf of a Brand — these Creator Terms govern your use of the Creator Services and the Terms and Conditions govern the Brand's use of the brand-facing Services.

Important: These Creator Terms contain disclaimers of warranties, limitations of liability, and dispute-resolution provisions in Sections 12 through 15. Kitbees provides a neutral venue and workflow tools. Kitbees is not your employer, agent, manager, or guarantor, is not a party to any agreement between you and a Brand, and does not guarantee that you will receive campaigns, acceptances, work, or compensation. If you do not agree to these Creator Terms, you must not access or use the Creator Services.

1. Acceptance and Eligibility

1.1 Binding Acceptance

By creating a creator account, clicking a button such as "Continue," "Register," or "Apply," or by accessing or using the Creator Services, you acknowledge that you have read, understood, and agree to be bound by these Creator Terms and the Kitbees Privacy Policy.

1.2 Eligibility

You may use the Creator Services only if:

you are at least 18 years old, or the age of majority in your jurisdiction, whichever is older;
you are legally able to enter into a binding contract;
you are not barred from using the Services under applicable law;
you are not located in, organized in, or ordinarily resident in a country, territory, or region subject to comprehensive U.S. sanctions, unless such use is authorized by applicable law; and
you are not listed on a U.S. government restricted-party list.

If you use the Creator Services through or on behalf of a loan-out company or similar entity, you represent and warrant that you have full authority to bind that entity, and "you" includes that entity.

1.3 Accurate Information

You must ensure that all registration, profile, application, and verification information you provide is accurate, complete, and current at all times. Providing false, misleading, or impersonating information is a material breach of these Creator Terms.

2. Your Account and Profile Claim

2.1 Account Security

Your account is personal to you and may not be shared, sold, transferred, or used by anyone else. You are responsible for safeguarding your credentials and for all activity under your account. You must notify us immediately at privacy@kitbees.com upon becoming aware of any unauthorized access or security breach involving your account.

2.2 Profile Claim

The Creator Services allow you to claim a social media profile (for example, an Instagram account) as your own. By claiming a profile, you represent and warrant that you own or lawfully control that profile. Claiming a profile that you do not own or control, or that you are not authorized to represent, is a material breach of these Creator Terms and may result in immediate termination, removal of associated data, and referral to the affected party or to law enforcement where appropriate.

2.3 Pre-Existing Public Data

You acknowledge that Kitbees operates a creator-intelligence platform and that a profile matching your social media account may already exist in the Kitbees catalog, built from publicly available or licensed sources, before you register. Claiming a profile associates your account with that catalog entry; it does not create, and Kitbees does not promise, any particular profile content, score, ranking, or visibility. The Kitbees Privacy Policy describes how creator data is collected and processed and how you can exercise privacy rights.

3. Verification

3.1 Verification Process

To unlock certain features (such as applying to campaigns), you must verify that you control the claimed social media account. Verification currently works by placing a Kitbees-generated token in the account's public biography (or a similar publicly visible field) and asking Kitbees to check for it. Additional platforms and verification methods may be added, changed, or removed over time.

3.2 Authorization to Retrieve Profile Data

By starting verification or claiming a profile, you expressly request and authorize Kitbees to retrieve publicly available information from the claimed account — including profile metadata, biography, follower statistics, and public content — for the purposes of verifying control, populating and enriching the associated profile, and operating the Creator Services.

3.3 Verification Limits and Meaning

Verification attempts may be limited, throttled, or subject to daily platform-wide budgets. Kitbees does not guarantee that verification will succeed, including where a third-party platform returns stale, cached, or incomplete data. A "verified" state means only that the verification token was observed on the claimed account at the time of the check. Verification is not an endorsement, certification, identity guarantee, or quality assessment by Kitbees, and Kitbees may revoke a verification at any time if it reasonably believes the verification was obtained fraudulently or in error, or that the account is no longer under your control.

4. The Kitbees Marketplace — Our Role

4.1 Neutral Venue Only

The Creator Services include marketplace features through which Brands may publish campaign listings and Creators may discover them, apply, communicate, and submit deliverables (the "Marketplace Features"). The Marketplace Features are a neutral venue and workflow tooling only. Kitbees:

is not a party to any agreement, engagement, or transaction between you and any Brand (a "Deal"), whether or not it was initiated through the Marketplace Features;
is not your employer, joint employer, staffing agency, talent agency, manager, agent, broker, payroll provider, escrow provider, collections agent, fiduciary, or guarantor;
does not vet, endorse, or guarantee any Brand, campaign listing, budget, brief, or other Brand-provided information;
does not negotiate, supervise, control, or direct your work, deliverables, schedule, pricing, or the manner in which you provide services to any Brand; and
does not guarantee that any campaign will be available to you, that any application will be viewed or accepted, that any Deal will be formed, performed, or paid, or that you will earn any amount through the Creator Services.

4.2 Independent Relationship

You are an independent user of the Creator Services. Nothing in these Creator Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between you and Kitbees. Whether a Deal creates any such relationship between you and a Brand is solely a matter between you and that Brand.

4.3 Deals Are Between You and the Brand

A Brand's acceptance of your application, and any related arrangement about scope, deliverables, deadlines, usage rights, exclusivity, disclosures, approvals, or compensation, forms a direct relationship between you and the Brand. Its terms are exclusively between you and the Brand. Kitbees strongly recommends documenting every Deal in a written agreement. Kitbees is not responsible for, and does not mediate, arbitrate, or resolve, disputes between you and any Brand, including disputes about payment, deliverables, usage rights, approvals, or campaign performance, although Kitbees may, in its discretion, review marketplace records in connection with abuse, fraud, or policy investigations.

4.4 Moderation

Kitbees may — but has no obligation to — monitor, moderate, remove, suppress, or restrict listings, applications, messages, submissions, profiles, or accounts at any time for legal, security, quality, abuse-prevention, or operational reasons.

5. Applications, Listings, and Communications

5.1 Campaign Listings

Campaign listings (including brand identity, briefs, goals, budgets, deliverables, deadlines, applicant limits, and follower requirements) are provided by Brands. Kitbees does not verify their accuracy and may delist or modify the presentation of any listing at any time. Listings may close, expire, reach capacity, or be withdrawn without notice.

5.2 What a Brand Receives When You Apply

By submitting an application, you direct Kitbees to disclose to the relevant Brand's organization: your profile preview (name, handle, avatar, platform, follower and engagement statistics), your application message and proposed price, your portfolio links, your registration email address, your subsequent messages in the application thread, and your deliverable submissions. The Brand processes this information as an independent controller under its own legal obligations, as described in the Privacy Policy. Do not apply if you do not want this information shared with that Brand.

5.3 Truthful Applications

Every application, profile detail, statistic representation, portfolio link, and message you submit must be truthful and must not misrepresent your identity, audience, engagement, experience, or rights. You represent and warrant that you have all rights necessary to share your portfolio links and any content you reference or submit.

5.4 Communication Rules

Application threads exist to negotiate and manage the specific application and Deal. You must not use them to send spam, bulk promotion, phishing, malware, harassment, discriminatory or unlawful content, or deceptive claims. Threads tied to an application that has reached a terminal state may become read-only.

5.5 Operational Limits

Kitbees enforces automated operational limits to protect the marketplace — including caps on concurrent and daily applications, message rate limits, submission round limits, attempt limits, and automatic expiry of stale applications. These limits may change at any time, may be enforced without notice, and exceeding them may result in rejected requests, throttling, or suspension.

5.6 Application Lifecycle

Applications may be withdrawn by you, accepted or declined by the Brand, cancelled (including automatically when a Brand removes you from a campaign), or expired automatically. Kitbees has no liability for any application outcome, status transition, removal, delisting, or expiry, or for any expectation, opportunity cost, or reliance associated with an application.

5.7 Records

Applications, messages, submissions, and related marketplace records are retained and may be reviewed by Kitbees for security, abuse prevention, fraud investigation, legal compliance, support, and the investigation of disputes about marketplace conduct, as described in the Privacy Policy.

6. Deals, Deliverables, and Content

6.1 Deliverable Workflow Is Tooling Only

The Creator Services may provide tools for submitting deliverable links, review rounds, revision requests, and approvals. These are workflow tools only. An "approval," "revision request," or similar action is an act of the Brand, not of Kitbees, and an approval through the Services does not constitute, and does not guarantee, payment, acceptance under your Deal, or any waiver of the Brand's or your contractual rights.

6.2 Your Content and License to Kitbees

As between you and Kitbees, you retain all rights in the content you create. You grant Kitbees a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process the materials you submit through the Creator Services (profile information, applications, portfolio links, messages, submissions) solely as needed to operate, secure, improve, and provide the Services, including displaying them to the Brands you direct them to. Kitbees claims no ownership in your deliverables, and rights to deliverables as between you and a Brand are governed solely by your Deal with that Brand.

6.3 Content Warranties

You represent and warrant that nothing you submit through the Creator Services infringes any intellectual property, privacy, publicity, or other right of any person, violates any law or platform rule, or contains malicious code or deceptive links. You are solely responsible for ensuring that AI-generated or AI-assisted content you submit is disclosed where required and cleared for your intended use.

7. Compensation, Payments, and Taxes

7.1 Kitbees Does Not Hold Deal Funds

Except where Kitbees expressly makes optional Stripe-powered payment-routing tools available, payment for Deals is arranged and settled directly between you and the Brand, outside the Services. Kitbees is not a bank, money transmitter, escrow provider, payroll provider, or tax adviser, does not hold Deal funds, does not guarantee that any Brand will pay you, and is not responsible for the timing, amount, collection, or tax treatment of any payment between you and a Brand.

7.2 Stripe Connect

If you use Stripe-powered payout features, you may be required to accept Stripe's terms, complete identity verification, provide tax information, and maintain a payout-eligible connected account. Stripe — not Kitbees — processes and holds the relevant funds, and payouts are subject to Stripe's risk, compliance, and timing rules.

7.3 Taxes

You are solely responsible for all taxes, social contributions, registrations, invoices, and reporting obligations arising from your Deals and your use of the Creator Services. Kitbees does not withhold taxes on your behalf.

7.4 Fees

The Creator Services are currently provided to Creators without platform fees. Kitbees may introduce, change, or discontinue Creator-facing features, plans, or fees in the future with notice as required by law.

8. Legal Compliance and Disclosures

You are solely responsible for complying with all laws, regulations, and platform rules applicable to your activities, including:

advertising disclosure rules — including the FTC Endorsement Guides and equivalent local rules — requiring clear and conspicuous disclosure of paid partnerships, gifted products, affiliate relationships, and other material connections in your content;
truth-in-advertising, consumer-protection, and unfair-competition laws, including rules for regulated categories (alcohol, gambling, financial products, health claims, products directed at minors, and similar);
the terms of service and community guidelines of each social media platform you use; and
sanctions, export-control, and anti-corruption laws.

9. Acceptable Use

You must not, and must not permit others to:

create fake, duplicate, or impersonating accounts or profiles, or claim a profile you do not own or control;
misrepresent your audience, followers, engagement, or performance, including through purchased followers or artificial engagement presented as genuine;
use the Creator Services to send spam or unrelated promotion to Brands, or to harvest Brand or user data;
scrape, crawl, or use automated means to extract data from the Services except through functionality intentionally made available by Kitbees;
circumvent verification, rate limits, application caps, budgets, security controls, or other technical restrictions, including by using multiple accounts;
interfere with or disrupt the integrity, security, or performance of the Services;
use the Services in violation of law or third-party rights, or to stalk, threaten, harass, or harm any person; or
upload malware, harmful code, or malicious links.

Kitbees may investigate suspected violations and may suspend or terminate accounts, withdraw applications, remove content, revoke verification, and take other protective measures at its discretion.

10. Privacy

The Kitbees Privacy Policy describes how we collect, use, share, and retain your Personal Data, including the data collected during registration, profile claiming, verification, applications, messaging, and deliverable submission, and what is shared with Brands when you apply. By using the Creator Services you acknowledge the Privacy Policy. You may exercise privacy rights as described there.

11. Suspension and Termination

11.1 By Kitbees

Kitbees may suspend, restrict, or terminate your access to the Creator Services immediately if Kitbees reasonably believes you have breached these Creator Terms, created legal, security, fraud, abuse, or operational risk, or where required by a platform, processor, or authority. Where commercially reasonable, Kitbees will use reasonable efforts to provide notice, but is not required to where immediate action is reasonably necessary.

11.2 By You

You may stop using the Creator Services at any time and may request account deletion as described in the Privacy Policy.

11.3 Effect of Termination

Upon termination: your access ends; pending applications may be withdrawn or cancelled; and Kitbees may retain records as described in the Privacy Policy. Termination of these Creator Terms does not affect any Deal between you and a Brand, which remains governed by its own terms. Sections that by their nature should survive termination survive, including Sections 4, 6.2 (for the period needed to wind down), 6.3, and 8 through 15.

12. Disclaimers

You use the Creator Services at your sole risk. The Creator Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Kitbees disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Kitbees does not warrant that:

any campaign listing, Brand, budget, brief, or other Brand-provided information is accurate, lawful, available, or genuine;
any application will be reviewed, accepted, or responded to, or that any Deal will be formed, performed, or paid;
follower counts, engagement rates, analytics, scores, and similar figures shown in the Services — which are estimates derived from public or third-party data — are accurate, complete, or current;
verification will succeed or remain available, or that any platform data source will remain accessible; or
the Services will be uninterrupted, secure, or error-free.

The Creator Services do not provide legal, tax, accounting, or other professional advice.

13. Limitation of Liability

To the maximum extent permitted by law, Kitbees and its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, data, or anticipated earnings, arising out of or relating to the Creator Services or these Creator Terms, even if advised of the possibility of such damages. Without limiting the foregoing, Kitbees is not liable for the conduct, content, solvency, payment practices, or non-performance of any Brand, or for any Deal outcome.

To the maximum extent permitted by law, Kitbees' total liability for all claims relating to the Creator Services or these Creator Terms will not exceed US$100 in total.

Nothing in these Creator Terms excludes or limits any liability, right, or remedy that cannot be excluded or limited under applicable law — including non-waivable consumer-protection rights in your country of residence and liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, where such limitation is prohibited. In those cases, the relevant exclusion or limitation applies only to the maximum extent permitted.

14. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Kitbees, its affiliates, licensors, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content, profile, applications, messages, portfolio, or submissions; (b) any Deal or dispute between you and a Brand or other third party; (c) your violation of law, platform rules, or third-party rights, including missing or inadequate advertising disclosures; or (d) your breach of these Creator Terms. This Section does not require you to indemnify Kitbees for liabilities arising from Kitbees' own fraud, gross negligence, or willful misconduct, or to the extent indemnification is unenforceable under applicable law.

15. Governing Law and Disputes

These Creator Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. In the event of a dispute arising out of or relating to these Creator Terms or the Creator Services, you and Kitbees shall first attempt in good faith to resolve the matter through negotiations for sixty (60) calendar days following written notice of the dispute. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, and each party submits to the personal jurisdiction of those courts.

To the maximum extent permitted by law: any claim must be brought within one (1) year after it accrues; each party waives any right to a jury trial; and each party may bring claims only in its individual capacity and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.

If the mandatory consumer-protection law of your country or state of habitual residence grants you non-waivable rights — including the right to bring proceedings in your local courts or the benefit of local mandatory law — nothing in this Section deprives you of those rights, and the remainder of this Section applies to the maximum extent permitted.

16. Changes to These Terms

We may update these Creator Terms from time to time. If we make material changes, we will provide notice as required by applicable law — such as in-app notice or email — and update the "Last Updated" date above. Changes apply prospectively; your continued use of the Creator Services after the effective date constitutes acceptance.
